Documents Needed for Angel Investment Loan

The following documents are required along with your Angel Investment Loan application:
  1. A pitch deck (or business plan). Something that articulates what you do, what problem you solve, why yours is the team that will succeed, and how you’ll ultimately make money.

  2. Company formation documents (certificate of incorporation, shareholder agreements, bylaws, tax filings, etc.)

  3. An org chart articulating who works at the company and in what roles, how much they make, and if the percentage of time they’re committing to the company today.

  4. Any financial statements (if you have them).

  5. A record of any intellectual property (patents or active patent applications, etc.)

  6. A list of all officers and directors of the company along with a cap table showing who owns how much of the company today and what kind of shares, options, warrants they own.

  7. Any documents related to the options/warrants like conversion or preemptive rights, etc.

  8. The existing vesting schedules on any allocated shares

  9. Copies of any materially important contracts like sales contracts, (even those that are just actively being floated but which haven’t closed) purchase agreements from key vendors, lease agreements, etc.

  10. Documents related to any debt agreement

  11. Basically, anything that is committing $25k or more of the company’s dollars now or in the future.

  12. Insurance documentation

  13. Directors and Officers

  14. Any other company liability

  15. Any court orders, judgments or lawsuits that have been filed or you suspect might be filed.
